Exempt Organizations Of Counsel (One-Year Term)
Caplin & Drysdale is looking for an experienced attorney to work closely with a limited cohort of nonprofit organizations to assist them in identifying and addressing exempt organizations compliance issues that present legal risks to the success of their ongoing operations. The position would have a one-year term. The ideal candidate will have at least 10 years’ experience as in-house counsel advising nonprofit organizations that work in the U.S. and abroad on legal issues related to operations and programming, corporate governance, and compliance with foreign, U.S., state and local legal requirements. Outside counsel who have been closely involved with client operations should also consider applying.
The Of Counsel should expect that these organizations will not have had in-house counsel or significant access to outside legal advice in the past.
The legal services the Of Counsel would be expected to provide to non-profit organizations’ executive leadership, boards of directors, and relevant staffs would include:
- Obtaining a comprehensive understanding of the organization’s current operations and procedures, focusing on corporate governance and federal tax compliance.
- Identifying areas of needed or desired improvement in the identified operations and procedures, including mitigation of legal risks.
- Recommending new or modified policies and procedures.
- Briefing the organization’s executive leadership and board of directors on the above recommendations, including the rationale, need, urgency and risk.
- As requested, drafting such policies, procedures, and relevant forms for consideration by the organization’s executive leadership and board.
- Advising on the implementation and timing of recommended changes, including any necessary board and staff training.
- Establishing a mechanism for executive leadership or board to monitor implementation of changes in policies, procedures, and related training, and identify additional recommended changes.
- Consulting with either (a) attorneys in specialized fields (e.g., human resources, intellectual property, government contracting) and/or (b) professionals in other capacities (e.g., finance, financial reporting, audit, and accounting) that are advising the organization.
The Of Counsel would be expected to work independently with clients and collaboratively with Caplin & Drysdale’s Exempt Organizations lawyers.
