Seth Green is a member in Caplin & Drysdale's Washington, D.C. office. He joined the firm in 1998 after serving in the Treasury Department's Office of Tax Policy initially as an Attorney-Advisor and later as Associate Tax Legislative Counsel. While at the Treasury Department, Mr. Green had primary responsibility over the areas of consolidated groups of corporations, partnership taxation, leasing transactions, and corporate divisions and reorganizations.
Mr. Green's practice consists principally of working with clients to structure their transactions and operations in a tax-efficient manner. He advises clients on all federal tax aspects of acquisitions, dispositions, and joint ventures. He often works with foreign counterparts to ensure minimization of his clients' world-wide tax burden. Mr. Green has particular expertise with tax-free corporate divisions and reorganizations. He was the Treasury Department's primary representative in connection with the 1997 amendment of section 355 of the Internal Revenue Code, and he participated in drafting substantial revisions to the regulations governing mergers and other tax-free reorganizations.
Mr. Green is a frequent lecturer on topics related to corporate and partnership tax. He has spoken before numerous professional associations, including the Practising Law Institute, the Federal Tax Institute of New England, ALI-ABA, and numerous committees of the ABA Tax Section. He also served as an adjunct professor at the Georgetown University Law Center, co-teaching (with firm member Jessica Katz) a course on international taxation.
